General Terms and Conditions (GT&C) for Commercial Users
Introduction
These General Terms and Conditions (GT&C) govern the use of our website and the purchase of products and services by commercial users from GRIFFIN 1866 Ltd., a company based in Malta. You agree to comply with and be bound by these terms when accessing or using our website.
User Accounts
Commercial users must provide accurate and complete information when creating an account. You are responsible for maintaining your account's confidentiality and password and restricting access to your computer. You agree to accept responsibility for all activities that occur under your account.
Intellectual Property
All content on this website, including text, graphics, logos, and images, is the property of GRIFFIN 1866 Ltd. and is protected by copyright laws. You may not use our content without permission.
Trademark Protection
GRIFFIN 1866 Ltd. owns the worldwide trademark "GRIFFIN." This trademark includes, but is not limited to, the brand name, logo, and any associated images or designs. It is protected under international trademark laws, which provide legal recourse against unauthorised use, counterfeiting, and infringement. Using the trademark without permission is prohibited and may result in legal action.
Transactions
All prices are exclusive of applicable taxes. Shipping costs will be added at checkout. We accept various payment methods. You agree to pay the stated price for the product or service by placing an order.
Payment Terms
Unless otherwise agreed, the payment date is within 21 days of the invoice date. Failure to pay within the payment date allows us to change the account to prepayment without further notice. In the event of payment failure, we reserve all rights to contact a debt collector and forward them the customer's data and all required information to collect the debt. Where the buyer defaults on payments, and there are justified doubts about the buyer's solvency or creditworthiness, we – without prejudice to our other rights – will be entitled to demand securities or advance payments for outstanding deliveries and to declare all claims from the business relationship to be due immediately.
Delivery and Risk
Delivery dates are estimates and not guaranteed. Risk of loss or damage to products passes to you upon delivery. Delivery obligations will be suspended while the buyer is in arrears with a debt. Deliveries are DDU (Delivered Duty Unpaid) unless otherwise agreed.
Force Majeure
GRIFFIN 1866 Ltd. is not liable for any delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, extreme weather conditions, acts of war, terrorism, labour disputes, governmental actions, pandemics, or other unforeseen events. In such cases, our obligations will be suspended for the duration of the event, and we will make reasonable efforts to mitigate the impact and resume performance as soon as possible.
Warranties and Liability
All information regarding the suitability, manufacture, and use of our products, technical advice, and other information is given to the best of our knowledge but does not exempt the buyer from conducting its own inspections and tests. The buyer must inspect the delivered goods – including, where reasonable, by trial use – for defects relating to their quality and intended application without delay upon receipt; otherwise, the goods will be deemed to have been approved.
Complaints will only be considered if they are made in writing (with supporting documents enclosed) within eight days of the receipt of the goods – or, in the case of hidden defects, after the defects' discovery but at the latest within six months of the receipt of the goods. Our warranty obligation is limited to replacement, rescission, mitigation, or improvement at our discretion. Goods that are the subject of a complaint may only be returned with our express approval. GRIFFIN 1866 Ltd. is not liable for any indirect, incidental, or consequential damages arising from using our products or services except as required by law.
Retention of Title
Until our claims under the business relationship with the buyer are paid in full, the goods sold will remain our property. The buyer is entitled to dispose of the purchased goods in the ordinary course of business.
The retention of title also applies to the full value of any products arising from the processing, mixing, or combining of our goods; in such cases, we will be considered the manufacturer. If our goods are processed, mixed, or combined with goods of third parties and such third parties retain ownership rights, we will acquire co-ownership in proportion to the invoice values of such processed goods.
As security, the buyer hereby transfers to us, as a whole or in a sum equal to any co-ownership share which we acquire, any claims against third parties resulting from reselling. The buyer is authorised to collect such claims for our account until further notice or until the buyer ceases its payments to us. The buyer is not entitled to assign such claims, even for the purpose of debt collection through factoring, unless the factor is obliged to transfer the consideration amounting to our share of the claim directly to us as long as we still have outstanding claims against the buyer.
The buyer must notify us without delay, by registered letter, of any attempts by third parties to seize goods and claims belonging to us.
Any exercise of the retention of title does not constitute withdrawal from the contract. The goods and superseding claims may not be pledged to third parties nor be ceded or assigned by way of security until our claims have been paid in full.
Privacy and Data Protection

Governing Law
These GT&C are governed by the laws of Malta, and any disputes will be resolved in the courts of Malta.
